Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, website, communications, and related offerings provided by Maple Soundworks Studio (“Maple Soundworks Studio,” “we,” “us,” or “our”). By booking, purchasing, accessing, or using any service offered by Maple Soundworks Studio, you agree to be bound by these Terms and all applicable laws and regulations of Canada and the province of Ontario.
If you do not agree to these Terms, you must not use our services. These Terms form a legally binding agreement between you and Maple Soundworks Studio.
2. Scope of Services
Maple Soundworks Studio provides professional music and audio production services, which may include, without limitation:
- Multi-track audio recording
- Music production and beat making
- Mixing and mastering
- Vocal recording and editing
- Podcast recording and post-production
- Songwriting support and arrangement
- Artist demo development
Service descriptions, timelines, deliverables, and pricing may vary depending on the project, package selected, and client requirements. We reserve the right to determine the technical and creative methods used to provide the services.
Any additional services not expressly included in a written quote, invoice, or service agreement may be subject to additional fees.
3. User Obligations and Responsibilities
By using our services, you agree to:
- Provide accurate, current, and complete information when booking or communicating with us.
- Arrive on time for scheduled sessions and comply with studio rules, safety instructions, and reasonable staff directions.
- Ensure that any content, recordings, lyrics, samples, files, or materials you provide do not infringe the rights of any third party.
- Obtain all necessary permissions, licenses, releases, and consents for any third-party content used in your project.
- Not engage in unlawful, abusive, threatening, discriminatory, harassing, disruptive, or unsafe conduct on our premises or through our communications.
- Use studio equipment and facilities with reasonable care and only for their intended purpose.
- Pay all fees, charges, taxes, and applicable surcharges when due.
You are solely responsible for the legality, accuracy, and ownership of any materials you submit or request us to use in connection with your project.
4. Payment Terms and Conditions
All fees are due in accordance with the applicable quote, invoice, booking confirmation, or service agreement. Unless otherwise stated in writing:
- A deposit or advance payment may be required to secure a booking.
- All balances must be paid in full before final delivery of files, masters, or project assets.
- Prices may be quoted in Canadian dollars (CAD) unless otherwise specified.
- Applicable taxes, including GST/HST where required by law, will be added to the stated price.
- Late payments may result in suspension of services, withholding of deliverables, and/or cancellation of bookings.
If a payment is declined, reversed, or charged back, you remain responsible for the full amount owed, including any associated fees, administrative costs, and collection expenses permitted by law.
We may update pricing at any time for future bookings. Any estimate is non-binding unless expressly stated otherwise in writing.
5. Cancellation and Refund Policy
Bookings may be subject to cancellation fees based on the timing of cancellation and the nature of the service reserved. Unless otherwise stated in a written agreement:
- Deposits are non-refundable to the extent permitted by applicable law, as they reserve studio time and resources.
- Cancellations made with insufficient notice may be charged in full or partially, depending on the scheduled service and preparation already completed.
- If you fail to attend a scheduled session or arrive excessively late, the session may be forfeited without refund.
- Refunds, if any, are issued at our sole discretion only where required by law or expressly agreed in writing.
If Maple Soundworks Studio must cancel or reschedule a session due to unforeseen circumstances, we will make reasonable efforts to offer an alternative time or issue a refund for the affected portion of the service, as appropriate.
Custom creative work, completed recordings, edits, mixes, masters, and other digital deliverables are generally non-refundable once work has commenced or files have been delivered, except where required by law.
6. Liability Limitations
To the fullest extent permitted by applicable law, Maple Soundworks Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or loss of opportunity, arising out of or related to your use of our services.
Our total liability for any claim arising from or relating to the services shall not exceed the amount paid by you to Maple Soundworks Studio for the specific service giving rise to the claim, except where such limitation is prohibited by law.
We do not guarantee any particular artistic, commercial, distribution, streaming, chart, or audience outcome from the use of our services. Creative results are subjective and may vary.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations under Canadian law.
7. Intellectual Property Rights
Unless otherwise agreed in writing:
- You retain ownership of the original content you provide to us, subject to any third-party rights and applicable licenses.
- Maple Soundworks Studio retains ownership of its pre-existing tools, templates, workflows, methods, software configurations, session materials, and proprietary production techniques.
- Upon full payment, you may receive the agreed deliverables for your project, subject to any separate licensing, assignment, or usage terms stated in writing.
- We may retain copies of project files, session data, and deliverables for archival, backup, quality control, and business record purposes, unless prohibited by law or otherwise agreed.
You represent and warrant that you have all necessary rights to provide any content or materials submitted to us and to authorize us to use them for the purpose of delivering the services.
Unless expressly agreed otherwise in writing, Maple Soundworks Studio does not transfer ownership of underlying session files, project files, stems, multitracks, or raw recordings. Any transfer of copyright, master rights, publishing rights, or neighboring rights must be set out in a separate written agreement signed by both parties.
We may, with your consent where required, use non-confidential excerpts, stills, or references to completed work for portfolio, promotional, or archival purposes, subject to applicable law and any written confidentiality obligations.
8. Data Protection and Privacy
We collect, use, disclose, and retain personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Ontario privacy requirements, where relevant.
Personal information may be used for purposes including:
- Booking and scheduling services
- Processing payments and issuing invoices
- Communicating about projects and deliverables
- Maintaining business records and legal compliance
- Improving our services and client experience
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and in any applicable privacy notice we may provide. If you provide personal information about another individual, you represent that you have the authority or consent to do so.
9. Force Majeure
Maple Soundworks Studio shall not be liable for any delay, interruption, failure, or inability to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:
- Fire, flood, storm, or other natural disasters
- Power outages or utility failures
- Equipment failure not caused by our wilful misconduct
- Labour disputes, strikes, or shortages
- Government actions, public health emergencies, or legal restrictions
- Internet, telecommunications, or software outages
- Acts of war, terrorism, civil unrest, or other emergencies
In such cases, we may suspend, reschedule, or modify services without liability, subject to reasonable efforts to resume performance as soon as practicable.
10. Changes to Terms
We may revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will be effective upon posting or upon notice to you, as applicable.
Your continued use of Maple Soundworks Studio services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of Maple Soundworks Studio shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Ontario, Canada shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, except where applicable law requires otherwise.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Where possible, any invalid or unenforceable provision shall be interpreted in a manner that best reflects the original intent of the parties and the lawful purpose of the provision.
